Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 3, 2021, Chris J. Cheatwood, Executive Vice President and Advisor to the Management Committee of Pioneer Natural Resources Company (“Pioneer” or the “Company”), provided the Company with notice of his intention to retire from the Company as of June 30, 2022 (the “Retirement Date”). In order to facilitate an orderly transition, Mr. Cheatwood will aid in the transition of his duties through his Retirement Date. Mr. Cheatwood’s retirement is not due to a disagreement with the Company.
